TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of CIO Digest, a personalized daily intelligence briefing service operated by CIO Digest ("we", "us", or "our"). By creating an account, providing your email, or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. The Service
CIO Digest aggregates publicly available news, weather, transit, and calendar data into a daily briefing delivered via web, email, and (where supported) audio or SMS. The service is provided for informational purposes only. It is not professional advice, financial guidance, legal counsel, medical direction, or a substitute for official source systems.
2. Eligibility & Accounts
You must be at least 16 years old to use CIO Digest. You are responsible for keeping your email address current and for any activity that occurs under your account.
Accounts are individual. Sharing login access with another person or automated system is not permitted without prior written consent.
3. User Content & Calendar URLs
You may provide data to the service including, but not limited to: your email address, name, locations, commute information, an iCal or public calendar URL, a phone number, and content preferences ("User Content"). You retain ownership of your User Content and grant us a non-exclusive, worldwide, royalty-free license to use, store, transmit, and display it solely to operate and improve the service for you.
Calendar URL notice: If you provide an iCal URL, you represent that you have the authority to share it and that doing so does not violate any confidentiality obligation or third-party right. We fetch calendar data read-only and never write to your calendar.
You are solely responsible for the content of any URL you supply. Do not share URLs that expose confidential business information, minors' schedules, or anything you are not authorized to make accessible.
4. Subscription, Billing & Trial
New accounts receive a 5-day free Pro trial. No payment method is required to start. After the trial ends, the account reverts to the free tier unless you subscribe.
Paid subscriptions are billed through Stripe. Prices, features, and plans are described on the Pricing page. Subscriptions automatically renew until cancelled. You may cancel at any time from the Settings page; cancellation takes effect at the end of your current billing period.
All fees are non-refundable except where required by law. We reserve the right to change prices with at least 30 days' notice before your next renewal.
5. Inactivity & Free-Account Removal
To keep the service affordable and storage healthy, free accounts inactive for 15 consecutive days are automatically deleted, along with any stored preferences, calendar URLs, and email-delivery records. "Activity" means at least one of:
- Signing in to the service
- Opening a delivered briefing email
- Loading your digest page
- Changing any setting via the Settings page
We send a reminder email 3 days before deletion. Deletion is permanent and unrecoverable. Paid subscriptions are exempt from this policy while the subscription remains active.
After deletion, your email address may be re-registered at any time, including by you.
6. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to interfere with, disrupt, or compromise the service, its servers, or its networks.
- Reverse-engineer, scrape at scale, or redistribute the service's generated briefings as your own product.
- Use the service to send spam, phishing, or harassing content.
- Register an account using another person's email address without their consent.
- Provide a calendar URL or other third-party data you are not authorized to share.
7. Third-Party Sources & Content
The briefing aggregates headlines, summaries, and data from third-party publishers, weather services, transit authorities, and public APIs. We do not control, endorse, or guarantee the accuracy of third-party content. Links to third-party sites are provided for convenience — visiting them is at your own risk and subject to those sites' terms.
8. Sponsored Placements
Free-tier digests may include sponsored placements served by vetted third-party ad networks. Sponsored content is clearly labelled. Sponsorships do not influence editorial selection or ordering of news items. Paid subscribers receive an ad-free experience.
9. SMS Program Terms
CIO Digest SMS is an optional messaging program operated by Extrasphere Media LLC for CIO Digest subscribers who explicitly opt in. Messages include personalized daily briefing alerts, secure digest links, one-time verification codes, security notices, billing or account notices, and major service announcements.
Frequency: You may receive 1 to 3 recurring daily briefing messages per day, depending on the schedule you choose, plus occasional transactional verification or account messages.
Cost: CIO Digest does not charge separately for SMS delivery. Message and data rates may apply from your mobile carrier.
Opt out: Reply STOP to any CIO Digest SMS to cancel. You may also use STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT. After opting out, you will receive a confirmation message and no further SMS messages will be sent unless you opt back in.

Carriers are not liable for any delayed or undelivered messages. SMS delivery may not be available on all carriers or devices.

10. Service "As Is" — No Warranty
YOU USE CIO DIGEST AT YOUR OWN RISK.The service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, security, or uninterrupted operation.
We make no guarantee that:
- Briefings will be delivered on time or at all.
- News, weather, transit, or calendar data will be accurate, complete, or up-to-date.
- The service will be free of bugs, errors, or security incidents.
- Your data will never be lost, even with reasonable backup practices in place.
Do not rely on CIO Digest as the sole source for any decision with real-world consequences — financial, medical, legal, safety, or otherwise. Always verify critical information with the official source before acting on it.
11. Limitation of Liability
To the maximum extent permitted by law, neither CIO Digest nor its operators, employees, or service providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the service — including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or substitute service costs — even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising from these Terms or the service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $50.
12. Indemnification
You agree to defend, indemnify, and hold harmless CIO Digest and its operators from any claim, liability, damage, or expense (including reasonable attorney fees) arising out of (a) your use of the service, (b) User Content you provide (including any calendar URL), (c) your violation of these Terms, or (d) your violation of any third-party right.
13. Termination
You may stop using CIO Digest at any time by deleting your account in Settings or emailing privacy@ciodigest.app.
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, are engaging in abusive use, or if operating your account becomes impractical. On termination, your right to use the service ends immediately; Sections 3, 10, 11, 12, 14, and 16 survive termination.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be announced via email or an in-app notice at least 14 days before taking effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the service will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CIO Digest regarding the service, superseding any prior agreements.
